Broker user agreement

This Broker User Agreement ("Agreement") governs brokers, agents, and licensed real estate professionals ("Broker," "you," "your") who access the CondoGrid platform.

By creating a Broker account, downloading project materials, or using CondoGrid in any form, you agree to this Agreement and to the CondoGrid Terms & Conditions.

1. Eligibility & verification

You represent and warrant that:

• You are a licensed real estate professional
• You will provide accurate contact and brokerage information
• You will use the platform for legitimate real estate purposes
• You will comply with all local, state, and federal real estate laws

CondoGrid may request verification of your license or identity at any time.

2. Authorized use of platform

Brokers may use CondoGrid to:

• Browse and research development projects
• Download marketing materials provided by developers
• Request information
• Submit inquiries
• View analytics and KPIs
• Use CRM and messaging tools
• Share project information with clients

You agree to use the platform professionally and responsibly.

3. Restrictions & prohibited activities

3.1 Scraping & data harvesting

• Scrape projects or broker/developer data
• Use bots, crawlers, or automation tools
• Export or harvest email lists
• Build competing datasets or platforms

3.2 Redistribution & IP violations

You may not redistribute materials for:

• Resale
• Competitive intelligence
• Public uploading on third-party platforms
• Marketing unaffiliated projects

You may only share materials with active clients.

3.3 Misrepresentation

You may not:

• Present yourself as the listing or developer's exclusive agent
• Change or alter project materials
• Misquote pricing or availability
• Promise incentives without developer approval
• Represent CondoGrid in any way

3.4 Unauthorized commercial use

You may not:

• Sell access to CondoGrid
• Charge for CondoGrid materials
• Use data to create a competing marketplace
• Resell analytics
• Build derivative products

3.5 Abuse of communication tools

You may not:

• Spam developers or users
• Send bulk emails using platform leads
• Use CondoGrid for recruiting or solicitation
• Abuse messaging tools to harass or flood developers

4. Broker responsibilities

You agree to:

• Present accurate information to clients
• Confirm pricing and availability directly with the developer
• Use downloaded materials solely for property marketing purposes
• Respect project-specific marketing rules and instructions
• Protect client data and inquiries
• Comply with fair housing and nondiscrimination laws

5. Client leads & inquiries

If you submit an inquiry:

• The developer may contact you or your client
• CondoGrid is not responsible for lead routing outcomes
• You assume responsibility for follow-up
• You may not misuse client information obtained through CondoGrid

You agree not to harass or repeatedly message developers or their teams.

6. Downloaded materials

Developers upload:

• Floor plans
• Renderings
• Brochures
• Videos
• Price sheets
• Marketing materials

These remain the property of the developer.

You may download and share them only for client-facing real estate activity.

You may NOT:

• Rebrand the materials
• Remove or alter developer logos
• Add your own branding unless permitted
• Publicly publish the materials (YouTube, blogs, ads, portals, etc.)
• Use materials to promote unrelated properties

If in doubt, get written permission.

7. Accuracy of project information

CondoGrid does NOT guarantee:

• Pricing accuracy
• Timelines
• Square footage
• Availability
• Amenity lists
• Renderings or architectural details
• Developer claims or promotional materials

You acknowledge that:

• All project content comes from developers
• CondoGrid merely displays provided materials
• You must verify critical details independently

You will NOT hold CondoGrid liable for real estate decisions based on developer content.

8. Broker Pro & paid features

If you upgrade to a paid plan, the SaaS Subscription Agreement applies.

This includes:

• Billing
• Cancellations
• Fair use limits
• Upgrades/downgrades
• No refunds
• API access rules

9. Data privacy

When using the platform:

• Your activity may be tracked for analytics
• Developers may see engagement related to their projects
• Your information may be shared with developers when you inquire

We do not sell broker data.

10. Account security

You are responsible for:

• Maintaining confidentiality of your login
• Any actions taken under your account
• Notifying CondoGrid of suspicious activity

Sharing your account is prohibited.

11. Suspension & termination

We may suspend or terminate your account if you:

• Violate this Agreement
• Misuse project materials
• Breach licensing rules
• Engage in scraping
• Misrepresent projects or pricing
• Violate any state or federal real estate laws

Terminated brokers may not create new accounts without written approval.

12. No guarantee of results

CondoGrid does not guarantee:

• Leads
• Sales
• Commissions
• Broker activation
• Client conversions
• Market performance

Use of the platform is at your own risk.

13. Limitation of liability

To the fullest extent permitted by law:

• CondoGrid is not liable for real estate losses
• CondoGrid is not responsible for developer misrepresentation
• CondoGrid's total liability is capped at fees paid in the last 3 months
• CondoGrid is not liable for lost commissions or deals

14. Indemnification

You agree to indemnify CondoGrid against claims arising from:

• Misuse of project materials
• Misrepresentation to clients
• Copyright or IP violations
• Violations of real estate advertising laws
• Abusive messaging or communication
• Breach of this Agreement

15. Arbitration & governing law

This Agreement is governed by Florida law.

All disputes will be resolved through binding arbitration in Miami-Dade County, Florida.

No class actions. No jury trials.

16. Entire agreement

This Agreement + the CondoGrid Terms & Conditions constitute the full agreement between Broker and CondoGrid.
