SaaS subscription agreement
This SaaS Subscription Agreement ("Agreement") governs your paid use of the CondoGrid platform and software services ("Subscription Services") and forms part of the CondoGrid Terms & Conditions.
By subscribing to any paid plan, you agree to the terms below.
1. Definitions
"Subscription Services" means all paid features of CondoGrid, including:
- Developer dashboards
- Broker Pro tools
- Analytics & KPIs
- File hosting & downloads
- CRM tools
- Messaging
- API access
- Lead routing
- Enhanced search
- Team seats
- Any modules included in Enterprise or custom plans
"User" means any individual using the Subscription Services under your account.
"Billing Cycle" means monthly or annual periods depending on your plan.
2. Subscription access & license
CondoGrid grants you a limited, non-transferable, non-exclusive license to use the Subscription Services during the active subscription term.
You may not:
- Share accounts outside your organization
- Sublicense, resell, or redistribute the platform
- Reverse engineer or scrape data
- Create derivative works based on the platform
You are responsible for all usage by users in your account.
3. Billing & payment terms
3.1 Fees
You agree to pay all subscription fees associated with your plan. Fees are displayed at checkout or on your invoice.
3.2 Automatic renewal
Subscriptions renew automatically at the end of each Billing Cycle unless canceled.
3.3 No refunds
All payments are non-refundable, including:
- Partial months
- Unused features
- Downgrades
- Cancellations mid-cycle
- Annual plans paid upfront
Industry standard for SaaS.
3.4 Payment method
You authorize CondoGrid to charge your payment method on file for recurring fees.
If the payment fails, we may:
- Retry
- Request updated information
- Suspend or terminate access
3.5 Changes to pricing
We may update pricing with 30 days' notice.
4. Upgrades & downgrades
4.1 Upgrades
Upgrading mid-cycle takes effect immediately. Fees are prorated or charged immediately depending on the plan.
4.2 Downgrades
Downgrades apply on the next renewal date. We do not refund previous higher-tier charges.
Downgrading may cause loss of data, features, or functionality. We are not responsible for any resulting loss.
5. Fair use policy
To protect platform stability, we reserve the right to enforce fair-use limits on:
- API calls
- File hosting & downloads
- Number of projects or listings
- Team seats
- Messaging volume
- Automation triggers
- Data exports
Excessive usage may require an Enterprise plan. We may throttle, restrict, or suspend accounts abusing system resources.
6. API & integrations
If your plan includes API access:
- API keys must remain confidential
- Abuse may result in immediate revocation
- You may not use the API to clone or replicate CondoGrid
- CondoGrid may impose rate limits
You are responsible for activity performed through your API keys.
7. Data ownership & access
7.1 Your data
You own all content and data you upload.
7.2 Platform license
By using Subscription Services, you grant CondoGrid permission to:
- Host, store, and reproduce your data
- Perform analytics on usage
- Display your data within the platform
- Route leads and inquiries
7.3 Loss of access after termination
If your subscription ends:
- Access to subscription-only data will be blocked
- Linked content may become unavailable
- We may delete or archive data after a grace period
We are not responsible for data loss caused by cancellation, expiration, or downgrade.
8. Service levels & availability
We aim to maintain strong uptime but do not guarantee:
- Uninterrupted service
- 100% uptime
- Error-free operation
- Immediate bug fixes
- Continuous feature availability
Planned maintenance or outages may occur.
9. Support
Support may include:
- Email support
- Technical assistance
- Onboarding resources
- Documentation
- Troubleshooting
Response time varies by plan. Enterprise response times may be defined by a separate agreement.
10. Restrictions
You agree NOT to:
- Use CondoGrid to compete with CondoGrid
- Misuse analytics or scrape competitor data
- Use automated tools without authorization
- Engage in prohibited activities described in the Terms & Conditions
Violation may result in immediate account termination.
11. Confidentiality
Both parties agree to keep confidential:
- Business information
- Pricing
- Internal processes
- Communications
- Non-public platform features
This does not apply to information publicly available.
12. Term & termination
12.1 Term
This Agreement remains in effect while your subscription is active.
12.2 Termination by user
You may cancel anytime via the platform. No refunds.
12.3 Termination by CondoGrid
We may suspend or terminate the subscription if you:
- Violate this Agreement
- Violate the Terms & Conditions
- Fail to pay
- Misuse the platform
- Harm system security
12.4 Effect of termination
Upon termination:
- Unpaid fees remain due
- Access to paid features ends
- Data may be deleted or archived
13. No warranty
Subscription Services are provided "AS IS" and "AS AVAILABLE."
We do not guarantee:
- Results
- Accuracy
- Compatibility
- Uninterrupted access
- Performance
- Security beyond reasonable industry measures
14. Limitation of liability
To the fullest extent permitted by law:
- CondoGrid's total liability is capped at the amount paid in the last 3 months
- We are NOT liable for indirect, consequential, or punitive damages
- We are NOT liable for real estate losses or business outcomes
- Your exclusive remedy is cancellation of your subscription
15. Governing law & arbitration
This Agreement is governed by the laws of Florida.
All disputes will be resolved through binding arbitration in Miami-Dade County, Florida.
No class actions. No jury trials.
16. Entire agreement
This Agreement and the CondoGrid Terms & Conditions together form the entire agreement regarding your subscription.
